Terms of Service & Acceptable Use Policy

01 Acceptance & Eligibility

By registering for an account, accessing the LaterPro portal, connecting a WhatsApp session, or transmitting requests through our REST API, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are accepting on behalf of a company, enterprise, or legal entity, you represent and warrant that you possess the full legal authority to bind that entity to these Terms. You must be at least 18 years of age to use this Platform.

02 Description of Services

LaterPro provides a multi-user cloud automation interface that interacts with the WhatsApp protocol via open socket infrastructure (Baileys). Our features include:

QR code-based multi-device session pairing.
Single and bulk messaging with text, image, video, audio, and document attachments.
Zero-drift automated scheduling engine with custom intervals and presets.
Two-way live WhatsApp web messenger inbox with real-time SSE stream synchronization.
Secure developer REST API protected by individual API keys.

100% Free & Ad-Supported: The core features of LaterPro are provided free of charge to all registered accounts. The platform is monetized through non-intrusive third-party advertisements and sponsorships. No subscription payments or credit cards are required.

03 Acceptable Use Policy (AUP)

We maintain a strict zero-tolerance policy towards abusive, unlawful, or harmful activities. You explicitly agree that you will NOT use LaterPro to:

Transmit unsolicited commercial messages, bulk cold outreach, chain letters, or predatory advertising to recipients who have not given verifiable opt-in consent.
Conduct phishing, impersonation, bank fraud, credential harvesting, or deceptive pyramid / Ponzi schemes.
Send harassing, defamatory, abusive, threatening, obscene, or hateful messages.
Facilitate the sale of illegal substances, weapons, counterfeit goods, or unauthorized adult content.
Attempt to reverse-engineer, decompile, DDoS, or disrupt our servers, API gateway, or network infrastructure.

Immediate Termination for Abuse: Any account detected violating our Acceptable Use Policy or sending predatory spam will have their access terminated immediately without prior notice and without eligibility for refunds.

04 Anti-Spam & Recipient Opt-In Consent

You acknowledge that WhatsApp is an inherently personal and conversational medium. To protect your phone number reputation and comply with global communication laws:

You must maintain proof of prior consent (e.g., website opt-in form, customer purchase agreement, service subscription) for every phone number in your broadcast lists.
You must provide an obvious and immediate opt-out mechanism (such as honoring replies like "STOP", "UNSUBSCRIBE", or "OPTOUT").
You are strictly prohibited from purchasing, scraping, or utilizing third-party scraped phone number databases.

05 WhatsApp Account Standing & Anti-Ban Disclaimer

LaterPro acts strictly as a communication bridge and software facilitator between your server and WhatsApp sockets. We do not control WhatsApp's internal anti-abuse algorithms, automated spam filters, or account moderation teams.

Limitation of Responsibility for Account Status: If your WhatsApp account, phone number, or business channel is warned, rate-limited, restricted, or banned by WhatsApp/Meta due to high recipient complaint rates, unconsented broadcasts, or unnatural message velocity, LaterPro shall NOT be held responsible or liable for any consequential losses, disruption, or damages. You are solely responsible for managing message velocity, recipient opt-in quality, and broadcast pacing.

We strongly recommend utilizing our built-in Pacing Delay Controls (minimum 2,000ms – 5,000ms between messages) and warming up new numbers gradually.

06 API Rate Limits & Pacing Safeguards

To preserve server stability and ensure equitable bandwidth for all enterprise tenants:

API requests are monitored for fair use. Automated scripts exceeding reasonable throughput thresholds may be throttled.
File attachments are limited to 45MB per message.
Broadcast batches should incorporate randomized delays and follow healthy communication practices.

07 User Accounts & Authentication Security

You are responsible for safeguarding your login credentials and REST API keys. You must immediately notify us of any suspected breach or unauthorized use of your account. We are not liable for any losses arising from unauthorized access resulting from your failure to protect your credentials.

08 Intellectual Property

All software code, user interface designs, logos, visual assets, documentation, and algorithms comprising LaterPro are the exclusive intellectual property of LaterPro and its licensors. You are granted a non-exclusive, non-transferable, revocable license to access the Platform in accordance with these Terms.

09 Limitation of Liability & Warranty Disclaimer

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL LATERPRO, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE PLATFORM.

10 Governing Law & Dispute Resolution

These Terms shall be governed by, construed, and enforced in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.
